By accessing or using the LegalAI platform ("Service"), including our web application, mobile application, and API, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

LegalAI provides an AI-powered platform for legal information and document analysis. Our services include:

• AI-assisted legal document generation and analysis.
• Contract review and summarization.
• Legal question answering and research assistance.
• Document management and organization.

The Service uses artificial intelligence (Anthropic's Claude AI) to process your requests. AI outputs may contain errors, inaccuracies, or omissions. You are solely responsible for verifying the accuracy and appropriateness of any AI-generated content before relying on it.

3. AI-Generated Content Disclaimer

You expressly acknowledge and agree that:

• AI-generated content is for informational purposes only and does not constitute legal advice.
• LegalAI is not a substitute for professional legal counsel. No attorney-client relationship is created through use of this Service.
• AI responses may be incomplete, inaccurate, or outdated. Laws vary by jurisdiction and change over time.
• You must independently verify all AI-generated content and consult qualified legal professionals before making legal decisions.
• LegalAI shall not be held liable for any actions taken or not taken based on AI-generated content.

4. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or abusive purposes.

5. Credits and Payments

Certain features of the Service require credits or payment:

• Credits are consumed when you use AI-powered features such as document analysis, contract review, and legal Q&A.
• Purchased credits are non-refundable except as required by applicable law.
• We reserve the right to modify credit pricing and consumption rates with reasonable notice.
• Free credits may be provided at our discretion and may expire or be revoked at any time.

6. Intellectual Property

Our IP: The Service, including its design, features, code, and branding, is owned by LegalAI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Your content: You retain ownership of the documents and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process it as necessary to provide the Service.

AI outputs: AI-generated content produced through the Service may be used by you for any lawful purpose. However, we make no representations regarding the originality or intellectual property status of AI-generated content.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Represent AI-generated content as professional legal advice to third parties.
• Upload malicious content, viruses, or harmful code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Scrape, crawl, or use automated means to access the Service beyond authorized API usage.
• Interfere with or disrupt the integrity or performance of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless LegalAI and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your reliance on AI-generated content without independent verification.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease.
• Unused credits will be forfeited unless a refund is required by applicable law.
• You may request export of your data within 30 days of termination.
• Provisions that by their nature should survive termination will remain in effect (including limitation of liability, indemnification, and dispute resolution).

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware.

12. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
